STAK
How a STAK holds shares for employees.
Read moreThe sale can take years, and every round keeps its dated price and report. Ownership moves only after the buyer signs a deed and the payment is recorded.
The Sharing Group works with Share Council towards transferring ownership to its employees, customers and partners.

The sale takes years, and wider staff usually buy certificates from a STAK, a foundation that holds the shares.
Here the owner sells shares to three managers and STAK certificates to the wider staff, keeping 20% after year five.
Your first expert hour turns this into your own one-page Round Map.
This example is made up and is not advice.
Steps 4 and 5 repeat for every round.
You, your adviser and our expert decide who buys, how much moves per round and whether staff join through a STAK. The hour is paid.

Tulpwerk is our demo company. The numbers are made up, the screens are real.
Tulpwerk's share price rose from one cent at founding to 4.80 euros in an Equidam valuation of 30 June 2026. Our article on employee buy-ins and valuation explains why an independent price matters.

Tulpwerk's STAK has held 20% of the shares since January 2023. The ownership card lists each employee's certificates and their share of the 200,000.

The vesting report shows that Jesse left Tulpwerk on 31 August 2024 with 2,166 of his 4,000 options vested, and 1,834 went back into the pool.

What convinced me was their clarity. They helped us set up the structure, the STAK, and the platform in a way that made sense for us.

No, we don't lend money or arrange loans. A seller often lends part of the price next to a bank loan and the buyers' own money (Ondernemersplein, financing a takeover), and selling in rounds spreads each buyer's payments over several years. Agree any seller loan in writing with your adviser, and ask us whether our loan instrument, with its interest rate and repayment type, suits it.
Both sides use one dated valuation and its report, from your adviser or our partner Equidam, for every transfer in that round.
For BV shares, yes, because Dutch law requires a notarial deed (art. 2:196 BW), and the notary sets up the STAK. After that, certificates move between people without a notary, as our STAK page explains, and you create and sign each transfer deed on Share Council. Your notary or adviser confirms which deed each round needs.
Your agreement decides whether they sell back, to whom and at what price. The platform doesn't enforce leaver rules, so you record the buyback or return as its own transaction, and buying out a former employee from the STAK covers the STAK side.
No. The employee ownership trust started as a UK structure, and our blog explains how the UK model works. Your notary or adviser confirms which Dutch structure fits your sale.
A STAK, certificates or a loan need a paid plan. Plain shares sold to a few managers work on any plan, and pricing lists what each plan includes.
