This guide outlines the different user roles within the ShareCouncil platform, detailing their permissions and restrictions. This information is crucial for Portfolio Administrators and Owners to effectively manage their company's presence and participant access.
1. Viewer Role
The Viewer role is designed for individuals who need to audit or review the system without making any changes or owning financial instruments. This role is typically suited for parties like accountants or legal professionals within the company.
- Permissions:
- View all transactions.
- View all transactions on trade requests.
- See who owns what (referring to the block on the right bottom of the dashboard).
- Go to portfolio settings.
- Access the tab with the export of documents.
- View documents.
- Access the dashboard.
- Receive documents.
- See "Circles" and "My Wallets" on the dashboard.
- Restrictions:
- Cannot initiate transactions.
- Cannot be the signer of an entity.
- Cannot edit the signer of an entity.
- Cannot edit the paying entity.
- Cannot edit anything within portfolio settings or company settings.
- Cannot own any financial instruments, including Shares, Depository Receipts, Options on Depository Receipts, Stock Appreciation Rights (SARs), Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- Cannot receive any transactions.

2. Portfolio Admin Role
The Portfolio Admin role is typically assigned to an HR employee responsible for managing specific portfolios, such as an Employee Share Ownership Plan (ESOP).
- Permissions:
- Can own all financial instruments, including Shares, Depository Receipts, Options on Depository Receipts, Stock Appreciation Rights (SARs), Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- Make transactions within the assigned portfolio.
- Calculate dividend and interest.
- Upload valuation documents.
- Upload other documents.
- Activate participants.
- Access and edit portfolio settings.
- Add members who are already part of the circle to the portfolio via the "+" button on the dashboard.
- Can co-own everything and should be able to own everything.
- Restrictions:
- Can only see the portfolio(s) they are assigned to.
- Cannot access company settings.

- Cannot change a user's role at the company level (this is for company administrators).

3. Ambassador Role
The Ambassador role is designed for investors or clients, often related to crowdfunding or loyalty programs. They are typically not employees and their interactions with the platform are usually simple.
- Permissions:
- View documents.
- Access the dashboard.
- Receive documents.
- Can be assigned to portfolios (by a Portfolio Admin, Admin, or Owner).
- Can make and execute transactions from their wallet if peer-to-peer trading is enabled in that specific portfolio.
- Can participate in a trading day.
- Can make trade requests.
- Can access their wallet and have annual reports within it.
- Can own Shares, Depository Receipts, Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- See "Circles" and "My Wallets" on the dashboard.
- Restrictions:
- Cannot initiate transactions.
- Cannot edit the paying entity.
- Access the Portfolio Settings page

4. Owner Role

- Owns the circle.
- Should be able to do everything.
- Should be able to change everything within the circle.
- Can own and co-own all financial instruments, including Shares, Depository Receipts, Options on Depository Receipts, Stock Appreciation Rights (SARs), Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- No limitations on features or access.
- Restrictions:
- None.
- Pricing: Paid seat.
5. Administrator Role
The Administrator role has the same permissions as the Owner role.
- Permissions:
- Same as Owner (can do everything an owner can do).
- Can own and co-own all financial instruments, including Shares, Depository Receipts, Options on Depository Receipts, Stock Appreciation Rights (SARs), Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- No limitations on features or access.
- Restrictions:
- None.
- Pricing: Paid seat.
6. Full Member Role
The Full Member role primarily applies to employees and other individuals who own significant or complex financial instruments within the company.
- Permissions:
- Can have vesting on transactions.
- Can have a hurdle on transactions.
- Can own and co-own all financial instruments, including Shares, Depository Receipts, Options on Depository Receipts, Stock Appreciation Rights (SARs), Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- Can execute complex transactions (transactions with more variables than just amount and value).
- Restrictions:
- Access Portfolio Settings page
- Access Company Settings page
- Pricing: Full price paid seat.
Understanding Financial Instruments and Pricing Tiers:
- All Instruments: Shares, Depository Receipts, Options on Depository Receipts, Stock Appreciation Rights (SARs), Economic Ownership Rights, Convertible Loans, Bonds, Loans, Points, and Tokens.
- Free Seat (Viewer): Cannot own any financial instruments.
- Discount Seat (Ambassador): Can own all financial instruments except Options and SARs.
- Full Price Paid Seats (Portfolio Admin, Owner, Administrator, Full Member): Can own all financial instruments.
