The Share Council platform allows companies to register their organisation and bring their Cap-Table onto the platform, creating a clear, structured, and operational overview of the company's equity structure.
By setting up a dedicated environment (called a “Circle”), all issued company shares can be registered in a Shares Portfolio and subsequently assigned to shareholders through transactions. This setup mirrors the shareholder register and creates a centralized source of truth for ownership data and its historical evolution.All information entered into the Shares Portfolio should reflect the legal reality of the company for it to work as a reliable informational and management tool.
Mirroring Legal Ownership Through Transactions
Past issuances and transfers of shares can be recorded on the platform by creating the corresponding transactions. These transactions reflect what has legally taken place outside the platform, typically through a notarial deed.
Each transaction includes:
- The effective date
- The shareholder's personal data
- The number of shares
- Price Information
- The relevant notarial deed is attached for future reference (Optional)
By recording these transactions, companies can clearly track how ownership has changed over time, reduce reliance on fragmented spreadsheets, and avoid inconsistencies between legal documents and outdated internal records.
Adding Valuations to track Company Growth
The Shares Portfolio also allows companies to register share valuations over time. By adding valuations at different points, companies can track how their value evolves as the business grows.
These valuations are visualized through automatically generated graphs, helping founders, shareholders, and stakeholders understand how ownership and value development relate across different stages of the company.
Recording Dividends for Shareholder Insight
Dividend payments can also be recorded within the Shares Portfolio. Historical dividend payments can be added to complete the ownership and value overview.
This provides shareholders with clarity and insight into their returns over time. Each shareholder has an individual wallet that aggregates their holdings and related data, offering a clear perspective on investment performance without the need for additional calculations or external tools.
What the Cap Table Does — and Does Not — Do
The Cap Table product is designed to mirror legal ownership and financial events, not to replace legal execution processes. Share ownership changes still require a notarial process and must be executed externally before being reflected on the platform.
This distinguishes the cap table product from other products available on the platform. For certain co-ownership structures — such as depository receipts, options, SARs, CLAs, EERs and others — issuance and transfers can be fully executed through the platform, including the contract issuance, payment automation (optional), digital signature etc. as those operations do not require a notarial deed.
