Hand your company to your team, round by round

The sale can take years, and every round keeps its dated price and report. Ownership moves only after the buyer signs a deed and the payment is recorded.

The Sharing Group works with Share Council towards transferring ownership to its employees, customers and partners.

Your team can't buy the whole company at once

The sale takes years, and wider staff usually buy certificates from a STAK, a foundation that holds the shares.

Today

The sale lives in emails and spreadsheets

  • Each round's price sits in an old adviser's letter.
  • Every purchase needs a paper signature and a row someone retypes.
  • Employees ask you what they own.
With Share Council

One account holds every round and holder

  • Each round has a dated price and report.
  • Each buyer signs in their own account, and certificates move after payment.
  • Every holder logs in to see their certificates and their value.

How ownership could move to your team

Here the owner sells shares to three managers and STAK certificates to the wider staff, keeping 20% after year five.

Who does what in the Round-by-Round Buyout

Steps 4 and 5 repeat for every round.

  1. Map the rounds in an expert hour

You, your adviser and our expert decide who buys, how much moves per round and whether staff join through a STAK. The hour is paid.

  2. The notary does the notarial part

The notary sets up the STAK and transfers any BV shares, which needs a notarial deed (art. 2:196 BW).

One price per round, with the report attached

Tulpwerk's share price rose from one cent at founding to 4.80 euros in an Equidam valuation of 30 June 2026. Our article on employee buy-ins and valuation explains why an independent price matters.

Who holds what after each round

Tulpwerk's STAK has held 20% of the shares since January 2023. The ownership card lists each employee's certificates and their share of the 200,000.

Why Anne&Max chose Share Council for its STAK

What convinced me was their clarity. They helped us set up the structure, the STAK, and the platform in a way that made sense for us.

What stays with your bank, notary and advisers

Share Council is not the right fit if

  • You need the purchase financedWe don't arrange loans or hold money, and buyers pay the seller directly.
  • You need a buyer found or a deal negotiatedWe don't find buyers, run due diligence or draft the purchase agreement.
  • You need the notarial deed or tax adviceTransferring BV shares needs a notarial deed, and tax questions go to your tax adviser.

Book an expert hour if you're unsure which parts fit.

What sellers ask before the first round

My employees can't pay at once. Do you arrange financing?

No, we don't lend money or arrange loans. A seller often lends part of the price next to a bank loan and the buyers' own money (Ondernemersplein, financing a takeover), and selling in rounds spreads each buyer's payments over several years. Agree any seller loan in writing with your adviser, and ask us whether our loan instrument, with its interest rate and repayment type, suits it.

How do we agree a price fair to both sides?

Both sides use one dated valuation and its report, from your adviser or our partner Equidam, for every transfer in that round.

Do we still need a notary?

For BV shares, yes, because Dutch law requires a notarial deed (art. 2:196 BW), and the notary sets up the STAK. After that, certificates move between people without a notary, as our STAK page explains, and you create and sign each transfer deed on Share Council. Your notary or adviser confirms which deed each round needs.

What happens when a buyer leaves the company?

Your agreement decides whether they sell back, to whom and at what price. The platform doesn't enforce leaver rules, so you record the buyback or return as its own transaction, and buying out a former employee from the STAK covers the STAK side.

Is this an employee ownership trust?

No. The employee ownership trust started as a UK structure, and our blog explains how the UK model works. Your notary or adviser confirms which Dutch structure fits your sale.

Which plan do I need?

A STAK, certificates or a loan need a paid plan. Plain shares sold to a few managers work on any plan, and pricing lists what each plan includes.
