After the notary, keep every holder's record correct for years

The parties sign every certificate transfer in the platform, in Dutch or English. Every holder sees a statement valued on 1 January and 31 December.

Anne&Max, with 31+ locations, set up its STAK and certificates with Share Council.

Know who holds what, years after the notary

Steward-owned companies in the Netherlands usually combine a BV with one or more foundations, often a STAK.

Today

Nobody knows for sure who holds what

  • The BV's shareholder register and the STAK's certificate register no longer agree.
  • At every sale, you search old Word files for last year's deed.
  • Holders email to ask what they own.
With Share Council

Shares, certificates and holders agree in one account

  • Certificates follow the ratio in your administratievoorwaarden (the trust conditions).
  • Both sides sign each transfer in the platform, and it completes once the payment is recorded.
  • Certificate numbers move with every transfer and export to Excel.

Five steps to a record that stays correct

After step 1 at the notary, the After-the-Notary Setup runs in your account.

  1. The notary sets up the structure

The notary founds the STAK and executes the deed that brings shares into it. Your adviser or our team prepares the articles and the administratievoorwaarden.

  2. Build the structure in your account

Add the BV and the STAK on a paid plan, then create the shares, certificates and signers.

  3. Enter holders and history

Type them in, or our team does it as a paid service (Complete Platform Setup).

  4. Invite the holders

Each holder gets a login, and every later sale or buyback is recorded with its deed.

What convinced me was their clarity. They helped us set up the structure, the STAK, and the platform in a way that made sense for us.

Share Council is not the right fit if

  • You expect a steward-ownership featureThere isn't one. Your articles carry the rules, and we administer the structure.
  • You need an asset lock enforcedThe platform has no asset-lock, golden-share or priority-share feature.
  • Your shares are listedShare Council is built for private Dutch companies.
  • You want certificates traded every dayHolders sell to each other by a deed they sign. There is no continuous trading.
  • You need contracts in another languageDeeds and contracts come in Dutch and English.

If you are still designing the structure, book an expert hour first.

Answers before you move your STAK over

Is Share Council built for steward ownership?

There is no steward-ownership feature. We administer the BV, the STAK, the certificates and every holder, as your articles say.

Do I still need a notary?

Yes, to found the STAK and to move shares in the BV, including into the STAK. After that, certificates move between people without a notary, by a deed you sign in the platform. Your articles and administratievoorwaarden set the rules for each transfer.

Who drafts the trust conditions?

Often the notary drafts them when founding the STAK, and if you start your STAK through us, we prepare them up front. You then set the certificate ratio and signers to match. Our blog explains how they are drafted.

What about the rentmeestervennootschap?

It is a proposal, not law, so Share Council has nothing for it yet. The January 2026 coalition agreement promises a law, but no bill had been sent to parliament on 17 October 2026.

Can you move our existing register in?

Type in your holders and transfers, or our team enters them with Complete Platform Setup. There is no self-service import of past transfers.

Which plan do I need?

A paid plan, because certificates and STAK roles aren't in the try-out. Pricing lists each plan, and you can book an expert hour if you want our team to check your set-up.
