Give certificate holders a planned sale day at one price

Holders place sealed orders on the dates you set. Every filled order trades at one clearing price, and one SEPA file pays the sellers.

In beta today: every holder sees the AFM notice and can open a list of five risks.

Your board stops brokering every sale by email

Your employees hold certificates (depositary receipts) from a STAK, the foundation that holds the shares, with no public place to sell them.

Sales one at a time

Every sale is a new negotiation

  • A seller emails the board, and someone has to find a buyer.
  • Each sale has its own price, deed and payment, and the board updates the register by hand.
With a trading day

Everyone sells on one day at one price

  • Every holder gets the same link, rules and price.
  • One SEPA file pays every seller, and completing the day updates the register.

From announcement to paid sellers in five steps

The company or its STAK buys from sellers and sells to buyers at one price.

You set the rules on one form

Sanne set a range of 2.40 to 9.60 euros around the 4.80 euro valuation, capped each buyer at 5,000 certificates and set aside 10,000 euros for buybacks.

No holder sees what colleagues bid

Lotte can change or withdraw her order for 1,000 certificates until ordering closes. Sellers confirm their IBAN with a one-cent iDEAL payment or a bank statement.

Know how often to run a trading day

A trading day is a set moment with an opening and a closing date, not a stock exchange with daily trading. Our team helps you decide how often to run one.

Answers to what STAK boards ask first

Is this an exchange, and does Share Council hold the money?

No, only current certificate holders can take part, on the days you set. Buyers pay your company and your bank pays the sellers, so the money never passes through Share Council. Your adviser can tell you whether an AFM exemption applies.

What if nobody buys?

Sellers keep their certificates, unless the company set a buyback budget. When supply and demand don't match, the platform scales back every order on the larger side by the same share.

Who sets the price?

You choose a fixed price, a minimum only, or a range. With a minimum or a range, the platform picks the price at which the most certificates change hands. If two prices give the same volume, the higher one wins.

Which plan do I need?

It is an add-on on a paid plan, which certificates need too. You can't switch it on during the try-out, but you can look around for free first.

Do I still need a notary?

For setting up the STAK, yes. Shares in a BV move only by notarial deed, so the trading day is for certificates issued by a STAK and similar instruments. Share Council records those transfers when you complete the day.
